Termination 

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions. Upon termination, Your right to use the Service will cease immediately. 

Limitation of Liability 

Important Notice for Consumers: Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law or Scots law (including non-excludable consumer rights under the Consumer Rights Act 2015). 

Subject to the preceding paragraph: 

  1. Financial Cap: The entire liability of the Company and any of its suppliers under any provision of these Terms, and Your exclusive remedy, shall be limited to the amount actually paid by You through the Service or £100 GBP if You have not purchased anything through the Service. 
  1. Consequential Loss: To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any indirect, special, incidental, or consequential losses or damages whatsoever (including loss of profits, loss of data, loss of business opportunity, or business interruption) arising out of or in any way related to the use of or inability to use the Service. 

Disclaimers and Statutory Rights 

The Service is provided to You on an “AS IS” and “AS AVAILABLE” basis. 

If You are acting as a consumer, You enjoy certain statutory rights under UK legislation (including statutory guarantees that services will be provided with reasonable care and skill). Nothing in these Terms and Conditions is intended to affect or restrict these statutory rights. 

To the fullest extent permitted by applicable law, the Company disclaims all warranties or representations, express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be completely error-free, uninterrupted, or entirely free of viruses or malware. 

Governing Law and Jurisdiction 

Governing Law 

These Terms and Conditions, their subject matter, and their formation are governed by and construed in accordance with: 

  • England and Wales: The laws of England and Wales apply to these Terms. 
  • Scotland: If You reside in Scotland, nothing in these Terms prevents You from benefiting from mandatory provisions of Scots law. 

Jurisdiction and Dispute Resolution 

If You have any concern or dispute about the Service, You agree to first attempt to resolve the dispute informally by contacting the Company. 

If an informal resolution cannot be reached: 

  • English & Welsh Jurisdiction: If You reside in England or Wales, the courts of England and Wales shall have exclusive jurisdiction over any claim or dispute, except that if You are a consumer residing in Wales, You may also bring proceedings in Welsh courts. 
  • Scottish Jurisdiction: If You are a consumer residing in Scotland, You may bring legal proceedings in respect of the Service in either the Scottish courts or the courts of England and Wales. 

International & Sanctions Compliance 

You represent and warrant that You are not subject to any economic, financial, or trade sanctions administered or enforced by the UK Government (including HM Treasury), the European Union, or the United States government, nor are You located in a country subject to a comprehensive UK or US government embargo. 

Severability and Waiver 

Severability 

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction (whether in England and Wales or Scotland), such provision shall be severed or modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect. 

Waiver 

Failure or delay by a party to exercise any right or remedy provided under these Terms or by law shall not constitute a waiver of that or any other right or remedy. 

Changes to These Terms and Conditions 

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect.  

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms.
